Event Sponsorship Sign-Up — Terms & Conditions

These Terms & Conditions apply to the sponsorship package selected on the online sign-up form and create an agreement between the sponsoring party (“Sponsor”) and Beaver Valley Innovation Hub (“Hub”).

1. Acceptance and Authority. By submitting the sponsorship form, Sponsor accepts these Terms & Conditions and agrees to be bound by them. The person submitting the form represents that they are authorized to bind Sponsor. Checking the acceptance box and submitting the form constitutes an electronic signature and has the same legal effect as a handwritten signature, to the extent permitted by law.

2. Sponsorship Package. Sponsor will receive the sponsorship tier and benefits selected on the form. Benefits are limited to those specifically described on the form. No additional rights, services, advertising, exclusivity, or other benefits are granted unless the Hub agrees to them in writing.

3. Payment. The sponsorship amount shown on the form is due in full. Payments are processed by our third-party payment processor. By submitting and accepting this online form, Sponsor autho-rizes the Hub and our third-party payment processor to charge the sponsorship fee immediately upon submission and acceptance (payable online at checkout / immediately upon submission). The Hub will issue an invoice upon submission of the form. Sponsorship fees are non-refundable except as expressly provided in Section 6 (Cancellation, Postponement, and Events Beyond the Hub’s Control). If payment is not received, is late, is reversed, or is otherwise unpaid, the Hub may withhold, suspend, or withdraw sponsorship benefits, including recognition, placement, tickets, booth space, or other benefits.

4. Sponsor Materials. Sponsor must provide its logo, advertising copy, and other requested materials by the deadlines stated on the form or communicated by the Hub. Materials received after a deadline may not appear in printed, pre-event, or other time-sensitive materials. Sponsor

repre-sents and warrants that it owns or has permission to use all materials it provides and that the ma-terials do not violate any law or infringe another person’s rights.

5. Limited License and Publicity. Sponsor grants the Hub a non-exclusive, limited, royalty-free license to use Sponsor’s name, logo, and submitted materials solely to identify or promote the event and the sponsorship. The Hub may make reasonable formatting or sizing changes. The sponsorship does not create a partnership, agency relationship, endorsement, or exclusive arrangement, and neither party may imply otherwise.

6. Cancellation, Postponement, and Events Beyond the Hub’s Control.

Hub Cancellation or Postponement. If Beaver Valley Innovation Hub cancels or postpones the event, the Sponsor may choose either (a) a full refund of the sponsorship fee paid, or (b) a credit of the full amount toward a future Beaver Valley Innovation Hub event. The Sponsor makes this choice by notifying the Hub in writing within 30 days of the

cancellation or postponement notice.

7. Tax and Quid Pro Quo Acknowledgment. Sponsorship benefits may include goods or services such as booth space, tickets, promotional placement, or other tangible benefits. Accordingly, Sponsor may not be able to deduct the full sponsorship payment as a charitable contribution. To the extent required by applicable law, the Hub will provide a good-faith estimate of the value of the goods and services provided. If the payment is treated as a quid pro quo contribution and exceeds $75, the Hub will provide the required written disclosure stating that, for federal tax purposes, the deductible amount is limited to the amount paid that exceeds the fair market value of the goods and services provided, together with a good-faith estimate of that value. Sponsor is responsible for obtaining its own tax advice.

8. Conduct and Termination for Cause. Sponsor and its representatives must comply with applicable laws, venue rules, and reasonable event policies. The Hub may remove Sponsor or any Sponsor representative from the event, or terminate the sponsorship, for disruptive, abusive, unsafe, unlawful, discriminatory, or otherwise inappropriate conduct. In such circumstances, Sponsor will not be entitled to a refund.

9. Liability, Indemnity, and Photography. To the fullest extent permitted by law, the Hub’s total liability arising from the sponsorship or event will not exceed the sponsorship fee actually paid by Sponsor. Sponsor will defend, indemnify, and hold harmless the Hub and its officers, directors, employees, volunteers, and representatives from claims, losses, damages, costs, and expenses arising from Sponsor’s materials, negligence, misconduct, or conduct at the event, except to the extent caused by the Hub’s gross negligence or willful misconduct. Sponsor acknowledges that Sponsor and its guests attend and participate at their own risk. The event may be photographed, recorded, or filmed, and images or recordings may be used by the Hub for event documentation, educational purposes, or promotional purposes. Nothing in these Terms limits liability that cannot legally be limited.

10. Governing Law and Severability. These Terms are governed by the laws of the Commonwealth of Pennsylvania, without regard to conflict-of-law principles. Any legal proceeding relating to these Terms or the sponsorship must be brought in a state court located in Beaver County, Pennsylvania, or another court with jurisdiction serving Beaver County. If any provision is found unen-forceable, the remaining provisions will remain in effect.
